Some kinds of gravity and magnetic data,which is in the Southern Part of East China Sea, has been obtained. By some data processing for gravity and magnetic data, for example, buger correction, isostatic correction,magnetic RTP, and so,on; And we draw out the technical flow, which is already tested for validity and feasibility, for study on Mesozoic Strata distributing and its thickness by gravity and magnetic data; In order to inverse better Mesozoic Strata thickness, we mend traditional linear regression inversion, we do many iterative inversion using primary inversion result, which is good for advancing precision. And we work out relevant reformative program, which is validated by some theoretical models.Actions of some deep and big fault for Mesozoic Strata has been analysed. We indicate that F1-1 fault have important tectonical meaning. It propably appeared in Mesozoic or before it. The F1-1 fault control base distinctness in south and north of the East China Sea. The base of the north maybe is early Paleozoic, and the base of the south maybe is late Paleozoic. By the bourn of F1-1 fault, the basin of the East China Sea is divided into south and north part.We compartmentalize Mesozoic Strata, their total area is about 4.53×104km2, and eleven sedimentary center, which are described respectively. We indicate that the Mesozoic Strata in southern of the East China Sea mainly locate south of F1-1 fault. Through thickness inversion, we find Mesozoic Strata's thickness is gradually becoming thick from north to south and from west to east, the biggest thickness in the south is above 4000m.
