As the global environmental crisis intensifies , Human is faced with double pressure of economic development and environmental protection . And industrial activities are the main problems of environmental pollution . The adjustment and optimization of traditional industrial structure often overlooked the combined effect of resource and environmental factors . Which conflict situation between economic development and limited resources and environmental. Industrial restructuring should consider the constraints of environment and resource .In this paper based on the literature of home and abroad . as an example of Jiayuguan City, North Industrial Area make the application of analysis .This paper the main contents include the following :First, Research related to the theory of industrial structure, and circular economy, clean production, industrial ecology, eco-industrial parks, environmental accounting conduct a study and synthesis of home and abroad development.Second , carry out statistical analysis of the environment and resources status of Jiayuguan City and the North Industrial Area , identify the problems faced by the industrial structure of Jiayuguan City and find constraint factors in the North Industrial Area development.And establish the constrained optimization model of industrial restructuring of environmental and resource , and verified the model by statistics of Jiayuguan City .Last , as an example of the North Industrial Area in Jiayuguan City, by calculating the model of Industrial Areas recently and long-term planning , the major development sector is the North Industrial Area. At the same time, calculat the model under reduction of energy-saving requirements for the model , in order to guide planning and management of Industrial Area.
