Since 1990's, the enterprise groups of Hebei Province have made a great progress. They have completed the change from loosely combination to capital-linked headquarters-subsidiary relationship, made a great breakthrough in the innovation of enterprise system, taken an important step towards the regulation of property relationships and setup of corporate governance structure. But some problems in enterprise grouping have also reveled. Only these problems are solved, can the enterprise group grow healthily and rapidly.This paper takes 30 main enterprise groups determined by the government of Hebei Province as the research object, and takes the setup and regular running of the groups as the emphasis. It investigates and analyzes some group corporations theoretically and practically. Then some abnormal phenomenon are found, such as: the government sometimes cannot play a good part in enterprise group construction, some enterprises are combined forcedly, the running mechanism in group isn't regularity, the corporate governance structure cannot play a proper role in monitoring and restricting, the headquarters-subsidiary relationship does not put in order, the management system in group can not suit the group development, and so on. In accordance with those problems, this paper gives some suggestions and the way to deal with the situations. Such as the selecting of supporting point of government function, standardizing corporate governance structure, correctly treating the relationship between the centralized power and the distributed power, perfecting the running system and the cooperating system in the enterprise group.
