The capital structure of enterprise is an important part of the organizational theory of modern enterprise. As the procession leader of every enterprise in our country, listing enterprises are the model in many ways, such as operating mechanism, organizational management and so on. Therefor, to study the optimal capital structure of listing enterprises is greatly beneficial both to determinants of capital and to establishment of modern enterprise system.This paper proposes a useful analytic way, from structure to behavior and to performance. Along this way, this paper can clearly reflect how capital structures influence governance model, and furthermore, how governance model influence market value of enterprise. At last, some optimal choices can be made.The arrangement of this paper is as follows:Firstly, the paper introduces and analyzes the status and institution basis of the capital structure of listing enterprises. By this way, the actual problems of listing enterprises can be reflected.Secondly, through correlation analysis, the paper analyzes the relationship between the capital structure and the market value of listing enterprises. As a result, problems of the governance model, the operating system between capital structure and market value of enterprises, are uncovered.Finally, according to results of regression analysis, this paper put forward some optimal methods to improve governance model as well as operating achievements.Backed by a great number of realistic data, this paper, adopting mathematics methods to analyze quantitatively and qualitatively, has some theoretical and practical sense.
