Administration framework of corporate organization is a major policy in modern corporation constitution and decision-making, especially the human capital property and independent company director system have undertaken a preliminary and perfecting function in consummating the administration framework of corporation. Most important of all, human capital property right has made great contributions to enterprise transformation, enhancement of enterprise productivity, and the right to share surplus indemnity of the businesses.The author proposes that independent company directors have played an important role in administration framework of corporate bodies, attempting to initiate some beneficial motions in consummating corporation law.
