| S&T resources are precious wealth of the human society and the first resources of the economic community, have changed the traditional pattern taking natural resources as main resources and play an important role in the economic competition especially since the advent of the times of knowledge economy. Therefore through over the world great importance is attached to optimal allocation of S&T resources and bring their effect to full play.Innovation is the source of the human wealth and the drive of the economic development. The establishment of the innovative system of the S&T resources allocation is the fundamental channel to complete the allocation structure of S&T resources and fully utilize them for greatest economic benefits. For a country, a region or an enterprise, continuous innovation is the solely path to keep long term advantage in the competition.Based on the definition, contents and basic methodology of resources allocation and building of innovation system, and in accordance with the present situation and shortcomings of allocation and innovation system of S&T resources in Xi'an, in the article the key problems and their solution in the said field are put forward to keep the advantage of the resources and speed up the economic development in Xi'an.On the practice of optimal allocation and establishment of innovative system of S&T resources at Hi-Tech Electronics Corporation Ltd, the experiences of Hi-Tech are analyzed to show the development of a enterprise and the optimal allocation and continuous innovation can not be separated.In conclusion:(1) The problem in optimal allocation and establishment of innovative system of S&T resources in Xi'an is not really resolved. The optimal allocation and establishment of innovative system of S&T resources in Xi'an is just in its initial phase: little understanding and creative thought, dim sense of market economy, no powerful measures; unreasonable allocation of S&T resources, less investment in S&T resources, less transformation rate of achievement; no completegovernmental favored treatment to innovation of enterprise, incomplete construction of market system in Xi'an, short of vigor and innovative capability.(2) Xi'an is provided with S&T advantage which is but separated from the economic construction in Xi'an for a long time period. The only way out in which Xi'an to develop economy rapidly is to bring S&T advantage to full play, to resolve the problem in optimal allocation of S&T resources, to combine enterprise, university with research institute for cooperative innovation, and to establish the innovation system.(3) Xi'an is located in the west region of China and the important base for development of west economy. Many university universities and research institutes in Xi'an have trained a quantity of R&T talents for Xi'an. A rapid economy development in Xi'an can be expected if only we construct Xi'an to economic laws, bring forth new ideas continuously, optimize S&T resources allocation.
