Now is the critical time for the reform and opening of China's socialist market economy, but the reform of state-owned commercial banks can't keep pace with the development of the national economy, which may increase financial risks, affect social well-being, and spoil fruits of the reform and opening. In the perspective of historical materialism, the stock system, as a form of capital organization of modern enterprises, is good for the division of the ownership and the management, and will enhance the efficiency of both business and capital running. It can be the realizing form of public ownership and will, to a great extent, emancipate and improve our social productivity. Therefore, it is imperative that the reform of our commercial banks should be in the form of adopting the stock system, and must establish its competitiveness by further deepening the internal reform through reforming the state system and listing, so that it can meet the challenge of overseas banks, participate actively in the competition of international finance, and promote the national banking.This paper, in the guidance of Marxist finance theories and bank credit theory, by drawing on findings of the exploration of title theory and company administration, and based on the research of our predecessors, reviews and reflects on the development of China's banking, and, in keeping with the nature of our economic transformation and the historical background of China's entrance into the WTO, analyzes problems of the stock system reform of our state-owned commercial banks, aiming to find a way about based- on- market reform and future sustainable development.
