In 1940, the American Law Institute and the National Conference of Commissioners on Uniform State Laws join together to draft the "Uniform Commercial Code" Until 1952, after twelve years of discretion to modify, the official text was announced. "Uniform Commercial Code" is a well-known universally recognized code. Of course, its impact is far beyond the United States. Its successful enactment and adoption push the United States onto the track of codification, and thus the country has into an era of statutory law. Moreover, the Code is also widely regarded as a significant symbol of the trend of the integration of the civil law system with the common law system.There are 3 reasons for analysis the"Uniform Commercial Code Article 2": first of all, the Article 2 is the key of the "Uniform Commercial Code". Second, In May 2003, American Law Institute and National Conference of Commissioners on Uniform State Laws pass the revised draft of business part of Uniform Commercial Code. Third, Uniform Commercial Code accommodated the development of electronic business affairs in the world, and it can guide the lawmaking of electronic business affairs of other country. this revision guide the consummation of the correlative bargaining system, nail down the direction of our electronic contract lawmaking in the future.In this paper, I use the perspective of the history of the legal system, comprehensive "description of the legal history" and "interpretative legal history, "the two kinds of research ideas and methods. The "Uniform Commercial Code" and its sale of the various versions of articles and previous revision has combed. Sale of articles summarize the historical development and characteristics of each chapter. Fill the gaps in the research of this area. Without the introduction and conclusion, the paper is divided into five parts.The first part shows the the historical background of the "Uniform Commercial Code".The second part describes the formulation and adoption process of the "Uniform Commercial Code, " The third part discusses the legislative process of the article 2.The fourth part is the analysis of the main contents and characteristics of the article 2.The fifth part research the general characteristics of article 2...
