Research On Corporate Governance Of CITIC Group

This article discussed the CITIC Group corporate governance problems,mainlyin the exhibition of CITIC Pacific and its huge loss event.First through the analysis ofCITIC Pacific blessed event, this paper summed up its huge losses related to the stormleaked questions. By analyzing the CITIC Pacific blessing before and after theincident, ownership and personnel changes in the parent company, then mainlydiscussed the Parent company and the powers and responsibilities of unknown status，through describing the parent company and the powers and responsibilities, discussedthe terms of confusion caused by the crisis. By analyzing the CITIC groupmanagement of the parent company and the variety of governance in its subsidiariesof huge losses before and after the incident, the subsidiary governance problemsidentified root causes can be found in the parent company. Article concludes with arecommendation on its compliance to corporate governance to build. This articlemainly has following several aspects:First, in accordance with subsidiary, CITIC Pacific blessed event exposed bysome corporate governance issues, through a comparative study of parent-subsidiarycorporate governance, found that some governance of subsidiaries can be found on theroots of the parent company.Second, CITIC Pacific blessed events occur before and after major changes to itscorporate governance, to the parent company, are both a reference and take warning.Through a comparative analysis of this and found out the potential problems ofcorporate governance of the parent company, and subsidiary governanceimprovements and make relevant recommendations.Third, a truly effective governance model should also be linked to the country’shistorical and cultural traditions of combination products.
