Research On The Performance And Influencing Factors Of Chinese Chemical Enterprises In Overseas M & A

Considering the increasing degree of global economic integration in our country and the requirement of our country for the green sustainable development model,China’s chemical industry continues to carry out technological upgrading.Whether from the industrial upgrading,or green point of view,the chemical industry needs to develop green chemicals,reduce and eliminate pollution from the source.As a technology accumulation industry,overseas mergers and acquisitions of chemical companies play an important role and significance in promoting the technological upgrading of China’s chemical industry.Since 2013,although the chemical industry in our country has ended its rapid development over the past decade,the overall growth rate is still above the national economic growth rate.According to statistics,at present,our country has become the world’s largest producer of chemicals.Methanol,fertilizers,pesticides,chlor-alkali,tires,inorganic raw materials and other major bulk outputs rank first in the world.The cross-border mergers and acquisitions of chemical enterprises in our country started relatively late,and there are few studies on this area.This paper studies the motivation of cross-border mergers and acquisitions(M & A)of chemical enterprises in China,the factors that affect the success or failure,and puts forward suggestions for improvement based on the relevant cases.The full text of the six chapters can be grouped into five parts.The first part introduces the motivation,background and significance of cross-border M & A of Chinese chemical enterprises.This part will sort out research ideas,set up a research framework,introduce research methods,and review the literature.The second part introduces the overseas mergers and acquisitions of China National Chemical Corporation.The third part establishes an empirical model,using case studies of two cases of mergers and acquisitions of China National Chemical Corporation,the case of the merger of ADAMA Chemical Company in Israel and the case of Pirelli in Italy.The fourth part is the case analysis.The fifth part summarizes the main reasons for the success of cross-border mergers and acquisitions of chemical companies in China and gives relevant suggestions to the government and enterprises.This article focuses on chemical companies,the case of cross-border M & A,analyses the motivation and success of the cross-border mergers and acquisitions of chemical companies in China.Through case analysis,this paper argues that the cross-border mergers and acquisitions of chemical enterprises are mainly affected by many aspects such as politics,law,capital,preparation and integration.In order to improve the success rate of cross-border mergers and acquisitions of chemical companies in China.Our government should actively change its role,do a good job in service work,strengthen policy support and financial support,improve the legal system,strengthen ties with the host government and create a favorable external environment.Enterprises should establish the correct motivation for M & A,choose the appropriate M & A targets,conduct due diligence before mergers and acquisitions,carry out mergers and acquisitions in a flexible manner,and strengthen the cultural integration after training and mergers and acquisitions.
