The objective needs of the society and the strong promotion of government policies make the number of environmental protection high-tech enterprises in China increasing.However,the difficulty of technology upgrading and the high risk of R & D make the enterprises unable to respond to the market demand in time and maintain a stable market position.In this case,enterprises generally choose the way of external merger and acquisition to integrate superior resources,in order to play a synergistic effect and realize the extension expansion and sustainable growth.However,according to the relevant statistics,the effect of M & A integration of most enterprises is not optimistic,so this paper establishes a performance evaluation system of M & A of environmental protection high-tech enterprises to explore the effect of M & A of such enterprises.Starting from strategic management,this paper describes the strategic management framework of M & A from strategic description to strategic map,from long-term planning to balanced scorecard index design.By analyzing the strategic environment of M & A,we can understand the specific motivation of M & A,construct the strategic map from the four levels of finance,customer,internal process and learning and growth,clarify the internal logic of each level,sort out the key performance indicators of each level,and verify the logic of indicators within and across levels.On this basis,according to the matching principle of strategy and performance,this paper constructs the SAM consistency matching model,analyzes the value creation process of M& A,and constructs 50 indicators of three levels from the dimensions of finance,customer,internal process and learning growth,and constructs the M & A performance evaluation model from the qualitative and quantitative perspectives.Considering the different nature of indicators and the large error of single subjective weighting,this paper uses the objective entropy weight method to modify the weighting results of the subjective AHP,and combines the subjective and objective weighting.At the same time,quantitative comparative analysis and qualitative questionnaire survey were used to evaluate the financial dimension and the other three dimensions.According to the 5-level membership score standard,the comprehensive evaluation results were summarized.In order to verify the operability of this method,based on the background of a environmental protection high-tech company’s M & A and the development after M & A,this paper takes a company as an example,applies the performance evaluation model to evaluate the M& A performance from multiple dimensions,and finally carries out performance management according to the scoring results,that is,analyzes the factors that have made significant improvement after M & A and the problems that still exist and need to be improved.To sum up,combined with the characteristics of environment-friendly high-tech enterprises,this paper realizes the effective matching of M & A strategic management and performance management,designs a relatively comprehensive and scientific BSC M & A performance evaluation system for environment-friendly high-tech enterprises,and provides a certain reference significance and reference value for relevant enterprises to carry out M & A performance evaluation.
