The energy sector is one of the important areas of the “Belt and Road” initiative.Since the initiative,the energy sector has been fruitful for six years.The communication between China and the countries along the “Belt and Road” in the energy field has been deepening.Many large projects in the energy field have been put forward here,which have produced good economic benefits and achieved good social benefits.Shanghai HX International Group benefited from the great initiative of “One Belt,One Road” and complied with the call of “going out”,giving full play to its own advantages and successfully expanding extensive and close energy and economic cooperation abroad,and achieved remarkable results in promoting domestic and international market linkage.Results.HX International Group’s acquisition of Harbin Petroleum International is a typical case of “going out” in the energy sector.In this paper,HX International Group acquired the case of Harbin Petroleum International to study its integration strategy after mergers and acquisitions.In this paper,case analysis,quantitative analysis and literature analysis are used to analyze the integration model after mergers and acquisitions.Through the research on the integration case of M&A,this paper seeks to discover the problems existing in the process of HX International Group’s acquisition of Harbin Petroleum,and proposes corresponding improvement measures to provide some reference for the cross-border M&A integration of Shanghai HX International Group or other similar enterprises.This paper first clearly defines the connotation of M&A strategy,the motivation of M&A and the classification of M&A strategy.It introduces the definition of integration after merger and acquisition,the integration mode and the research results and development status of M&A strategy and post-merger integration.Secondly,it conducts research and analysis on the basic operation situation,development status and current stage of M&A strategy of Shanghai HX International Group,and makes an in-depth analysis of the changes in the internal environment and external environment after HX International Group’s merger and acquisition and the acquisition of HX International Group.Motivation and M&A process are explored.Thirdly,this paper analyzes the problems in the process of M&A from the perspectives of management integration,resource integration,corporate culture integration and the implementation effect of HX International Group’s M&A integration.This paper finds that the M&A integration has management difficulties due to cultural differences,difficulties caused by insufficient technical and professional talents,and financial difficulties in financial aspects.Finally,in view of the problems found in the process of M&A integration,this paper proposes improvement measures from the aspects of human resource integration,technology integration,financial integration and cultural exchange.Human resource integration is implemented by mitigating employee pressure,retaining outstanding talents,and selecting managers who use the target of mergers and acquisitions.The technical integration is improved from the comprehensive evaluation of the scientific research personnel of the merged enterprise and the improvement of the scientific and technological innovation system for the overall development strategy service.Financial integration is improved by setting financial management objectives,setting up an effective financial system,and setting up effective financial organizations.With the deepening of mergers and acquisitions,the new KMGI corporate culture will also face innovation,and corporate mergers and acquisitions,especially cross-border mergers and acquisitions,will undergo A process of cultural deconstruction to cultural reconstruction,the process of cultural integration is divided into three steps: First,compare and analyze the corporate culture of HX and KMGI,explore the advantages and disadvantages of both sides,analyze the possibility of integration;Second,take effective measures Avoiding the unreasonable aspects of the corporate culture of both parties and conducting preliminary integration;finally,selecting appropriate intervention points based on pre-preparation and analysis,and reconstructing new ones that are more suitable for the new KMGI and combine the advantages of HX and original KMGI.Corporate culture.
