Risk Analysis And Prevention Research Of China's Tianying Snake Swallowing Elephant M&A Of URBASER

With the development of economy and the progress of The Times,the construction of ecological civilization has become the focus of national attention and even the key to national development.More and more people begin to pay attention to environmental protection,and many environmental protection enterprises seize the opportunity to rise rapidly.With the government vigorously advocating environmental protection and calling for strengthening the construction of ecological civilization,the focus of economic development has also been transformed to the direction of sustainable development.This is in line with the strategies of "bringing in" and "going global" proposed in the report of the 17 th CPC National Congress.The "going out" strategy has promoted a large number of Chinese enterprises to initiate overseas mergers and acquisitions and rapidly explore overseas markets.Country attaches great importance to environmental protection and promote the development of the environmental protection industry,in order to obtain foreign advanced environmental protection technology and quickly open the overseas market,the development enterprise in order to be able to quickly realize the transformation and development,using the lever principle move initiated to stronger enterprise mergers and acquisitions in order to more rapid development,the way to weak swallow strong m&a is become a snake swallow like mergers and acquisitions.However,the scale gap between the two sides makes the merger and acquisition very difficult,especially the lack of funds,integration risk and post-merger debt repayment risk will accompany the whole process of merger and acquisition and a long period of time after the merger.Therefore,in order to rapidly develop the scale of Chinese enterprises to carry out mergers and acquisitions of snakes and elephants,the risk of mergers and acquisitions of snakes and elephants is particularly necessary.This paper selects a typical case of snake swallow-like M&A--China Tianying M&A Urbaser,and analyzes the basic situation,M&A motivation,M&A process and existing problems of the two.First,by searching for relevant literature to lay a theoretical foundation for this paper,and summarize the relevant research;Then,through case study,the whole process of China Jacaranda’s merger and acquisition of Urbaser is analyzed,and the impact of the merger on China Jacaranda in the future is predicted,and the risks encountered and potential risks in the whole process are analyzed and suggestions are put forward.The success does not mean that there is no risk,not all mergers and acquisitions can achieve 1+1 > 2 effect,want to be able to find opportunities to break through the original constraints and strive for better development on the need for a deep analysis and summary of the existing cases,this paper to China Jacaranda mergers and acquisitions Urbaser risk analysis of the whole process and put forward preventive measures and suggestions.It is hoped that this paper can provide reference value for future mergers and acquisitions enterprises and remind them of the risks they should pay attention to and the preventive measures they can take.
