Abstract 3 Study on the structure of stateowned corporate governance in china (Abstract) The basic route for stateowned enterprise to establish modern enterprise system is the reconstruction of corporate system. The key process of the reconstruction of corporate system is to found and perfect the corporate governance structure. The difficulty to found the corporate governance structure is the innovation of governance structure under the condition of public ?owned system especially under the state that Party organization participate in administer. The thesis begin with analyzing the special contradiction of stateowned enterprise governance. Then it opened out the basic characteristic of stateowned enterprise governancor and principal ?agent relationship, design a scenario of stateowned enterprise state and contingent governance under different types and various states. Meanwhile, it put forward a theory approach of establishing a monitor organ leading by the Party organization and carrying out an elastic stateowned enterprise governance through 3 councils &. 4 rights?on the foundation of reasonably reallocating the principalshipes, duties and rights. Chapter 1. the purpose, essentiality and the research trends of the problem of stateowned enterprise governance is introduced. Chapter 2 is the generality on the structure of stateowned enterprise governance. The structure of enterprise governance is a concept which was developed by western economist in the 1980s. The concept of ?cnterprisc?at here mainly indicates the modern corporation. The structure of stateowned enterprise governance is a special category of governance, which is the system scheme related to the allocation of the control rights and the residual claim rights under the public梠wned system. It is also defined as a series of system scheme that the equityholder supervise the managers and management performance under the separation of ownership from control.
