Stock Cooperative System: Theory, Practice And Its Appropriate Field,

The dissertation researches into the shareholding cooperative system (SCS) that emerged in rural areas in China in middle of 1980s. From a new institutional economic perspective, it analyzes and explores the path of institutional changes, institutional characteristics, the structure of property rights and the structure of cooperative governance, indicates the suitable field for the development of SCS and recommends some policies for its further development. The dissertation consists of eight parts as follows.Firstly, the dissertation briefly introduces and discusses domestic and foreign correlated theories on the SCS. The SCS, an institutional innovation in China, combines the cooperative system with the shareholding system. The dissertation introduces the latest research into the two systems and summarizes the development and characteristics of ESOP. Meanwhile, the dissertation summarizes the main domestic theoretical viewpoints about the innovation of the system, analyzes the basis and motivation of the occurrence of the CSS, discusses some different viewpoints about the arrangement of property rights and the governance structure, and discloses the advantage and disadvantage of the SCS. (Chapter One and Chapter Two)Secondly, the dissertation makes a general study of the institutional change of the rural shareholding cooperative system in Zhejiang (RSCS). It gives a brief introduction to the basic theory and affecting factors of institutional change, and makes an analysis of the process of the institutional changes of the RSCS. Besides, it cites some typical related cases as an introduction to the path of the institutional changes of the RSCS in Zhejiang and then summarizes the development and tendency of the RSCS in Zhejiang. (Chapter Three)Thirdly, the dissertation makes a comparative study of the SCS and other organizational forms of enterprises. It mainly compares the SCS with partnership system, shareholding system and cooperative system, probes into their difference and the suitable field for the development of the SCS. (Chapter Four)Fourthly, the dissertation focuses on the analysis of the structure of proper rights of the RSCS in Zhejiang. Property rights act as the core of institutional change and arrangement. After an introduction to the implication and kinds of property rights, the dissertation expounds the Coase Theorem, the essence of the theory of property rights, including its general contents, essence andpolicy implication. Then, the dissertation briefly depicts the different kinds of the RSCS in Zhejiang and its corresponding proper rights. Based on the investigated samples, it makes a further study of proper rights' arrangement of the RSCS in Zhejiang and summarizes the innovational effects, existing problems and developmental tendency of the SCS. (Chapter Five)Fifthly, the dissertation analyzes the governance structure of the SCS, its efficiency and disadvantages, in which the transactional cost theory, team production theory and the Oliver Williamson's governance structure theory are wildly applied. It also analyzes the various practical subjects in the rural areas of Zhejiang Province as well as the irregular institution's far-reaching influence on the governance structure of the SCS. (Chapter Six)Sixthly, the dissertation shows the basic facts of the SCS's extensive application of in developing agriculture and managing land scales, analyzes its background in agriculture, expounds the basic features of its development and probes into its achievements and the policy of developing the SCS further. Besides, based on some typical cases, it analyzes the current development of the SCS in managing land scales, existing problems, conditions and policy choice for its further development.
