The dissertation studies the Reform of State-owned Enterprises based on the share-holding structure. Nowadays, the Reform of State-owned Enterprises face key duration. In the same time, the share-holding system has great progress, and it is playing important role in many hands. 1.The reason of the dissertation In the approvals of the 3rd plenary session of the 16th Party Congress two points are highlighted: firstly, the proposal of turn the share-holding system into the main form of state-owned economy; secondly, the proposal of completing the modern property right system. In this sense, the share-holding structure is a desirable combination of both the property right system and share system. And it is of great importance for the reform of state-owned enterprises.In China, the problems concerning enterprises are studied at the angle of property right system and share system. And the share-holding structure is also studied. This thesis intends to do further research on the basis of the previous study.Internationally, the emphasis either merely on the decentralization of share ownership or centralization of share ownership is not likely to help solve problems of enterprises to a deep degree. Then the appropriate centralization or decentralization of share ownership becomes a tendency and this thesis endeavors to do further research on this point.2.The logic and the way of the dissertationThis is the logic of this thesis: he entrepreneurs of state-owned enterprises cannot be studied in theoretical way homogenously due to the inconsistence of theory and reality.Do the state-owned enterprise and private enterprise both have efficiency? Let us begin with the history: first, the state-owned enterprises are representatives of planned economy while the private enterprises are representatives of market economy. People's view varies in this way—firstly, planned economy is considered efficient, secondly market economy is found more efficient, further, the two types of economy are found essential to a country, in the long run, the key point that how to balance the two is realized.The history of foreign countries also proves this reversal. Take Russia as an example, the achievements of Russia in 30 and 40s and the difficulties encountered by the countries of developed market economy are witnesses of this point.In my view, the deficiency of them can be clarified in two levels. In the first level, the theories adopted by them are defective since no theory can be applied in all situations. And the theory also needs development. In the second and more important level, the theories of modern enterprises, as the hypothesis and premise of the theory of enterprise, the micro-basis of enterprises, are established in western society regardless of the consideration of China's reality.Then what are the differences in the micro-basis of China and western society? In my personal opinion, the main difference is China lacks a process, a process that forms the basis of market economy. In this case the price decision-making process can describe it.For instance, in western economics, the decisive power of demand and supply to the price is abstracted as two simple curves, omitting the complicated bargaining process. It means that, in the eye of the western countries with developed market economy, this is an obvious process, just as one and one are two. However, in China, to make one and one become two needs a longer process, and more importantly, if the process takes long enough time, the result might not be two. A more practical example is loans borrowed by state-owned enterprises. In some cases, the enterprises even do not have the consideration of pay for their loans. Theoretically, to pay for the bill is simple and unnecessary to be discussed.
