| Intellectual Capital is the headspring that corporation value increase, and the safeguard that corporation steadily is kept and persist developed. The research about the relation between intellectual capital and corporation value is one of the important tasks in the field of modern corporation finance. On the basis of analysis,conclusion and settlement about human capital theory,intellectual capital theory, this article puts forward three shapes theory of intellectual capital, more fractionizing research of its value analysis and value transform , made research more concretion and pertinence. At the same time, in the process of analysis, the penman uses criterion research and demonstration research methods, and from different sides and angles systematically researches the content that can embody corporation finance in the transformation between corporation value increase and intellectual capital value.The penman analyses corporation IC (intellectual capital) mainly through vertical and horizontal line. Firstly, seen from horizontal line, corporation IC has various behavior shapes, that is management intelligence capital, supervise intelligence capital and technical intelligence capital. Because IC with different shapes have different value behavior manners, it is necessary to divide IC shapes if me want to post the secret of IC value transformation it is the basis to research the relation between IC and corporation value. Secondly, seen from vertical line, IC is made up of different "molecule", generally people call it as IC's structure, that is human capital, structure capital (including client capital), human capital is value headspring of IC, but structure capital is the flat roof of IC value transformation, and material guarantee of IC value transformation. Only combining intelligence assets, IC can be solidified intelligence assets, and be base the risk of IC value transformation.
