Modern Corporate Governance Thought

Westernization Movement is the beginning of the process of China's Modernization, and establishing of modern enterprises is one of important aspects of this movement, the beginning, development and evolvement of these enterprises institution reflect particular characteristics of the procession of Chinese Modernization. Today, the reform of enterprise institution still is the key point of Chinese economic reformation. Although the time is different, the content is still the same. As far as the driving-force of the producing of Chinese enterprise institution, the government always takes the role of advocate and promotion, not only in the present, but also in the past. So, the related research of Chinese modern enterprise can give helpful suggestion to today's Chinese SOE reform. Especially, the enterprise of "Officer Supervision, Merchant Management"(GUANDU SHANGBAN) in China's early industrialization not only is the extension of Chinese traditional government domination in the transition time, but also is the new stage of imitating western modern enterprise institution in social produce. Using this mirror, we can find the success and failure in the development of Chinese modern enterprise, and provide the useful suggestion for Chinese reformation, reducing the cost of the reformation and improving the efficient of Chinese reformation.With this intent, this thesis sums up and appraises the procession of the thought of modern Chinese corporate governance in historical sequence. In this thesis, I use the year of 1872 as the beginning point and divide the procession of the development of the thought of modern Chinese corporate governance into five periods, such as, the period of late-Qing dynasty (1872~1911), the period of early Republic China and Beiyang Government (1912—1927), the ten years of Nanking period (1928~1937), the period of Anti-Japanese war (1937~1945) and the period of post-Anti-Japanese war (1945-1949). This thesis concludes the characteristics of the thought of corporate governance in different period, illustrating logic relationship of the continuation, innovation and development of these periods.Another subject of this thesis is the beginning and involvement of modern Company Law, I have analysis the thought of corporate governance in the Company Law issued in the year of 1904(GONGSI LU), 1914(GONGSI TIAOLI), 1929(GONGSI FA), and 1946(GONGSI FA). As far as the content of this thesis, I have analysis the relationship of official and merchant, explain the combat procession between the government and the merchant, illuminate the success and failure in the development of the thought of Chinese corporate governance, and points out the way to develop.
