Abstract/Summary:
Since we entered the21st century,our social-economic development has madebig progress and its achievements have brought attention of the whole world. But onthe other hand, at the same time, the social-economic development also broughtserious of problems. Such as the unbalanced regional development, the wideningincome distribution gap between rich and poor, energy consumption andenvironmental damage, poor enterprise product quality and security and so on. As awhole, our social-economic development has entered into a period of building amoderately prosperous and harmonious socialist society, it is the golden stage ofdevelopment, but it is also the stage of social contradictions. With the globalintegration of world economy, the process of trade liberalization is becoming moreand more quickly, international competition and cooperation is developing towardmore strengthen and deepen. The countries all over the world and global enterpriseorganization required that the enterprise should take more and more socialresponsibility, moral responsibility, and also the responsibility for environmental andecological protection. Many countries and international organizations also have setand perfect relevant enterprise citizen of the construction of the convention or relatedstandard, such as the United Nations global compact, etc, In order to require andstandardise enterprise citizen behavior, to constantly improve the enterprisemanagement, and finally to achieve the sustainable development of the enterprises.Enterprise is the social basic civil, so it decides the enterprise's position is moreimportant and it also should play more important role, and should take on the newhistorical mission. Enterprise should pay attention to their own scientific development,and the courage to undertake social economic and other related responsibility. Theidea of corporate social responsibility has a long history, and it has been developed tothe concept of enterprise citizen behavior now."Enterprise citizen" is a legal concept,it refers to an artificial person who register in a country formally, and according to thelaw, it can enjoy the enterprise's rights and bear the enterprise's responsibility andduty. Enterprise citizen belongs to a legal person citizen, it has the organization life.Its life cycle is the surviving time of legal enterprise production and businessoperation activities. The main enterprise citizen rights include personality rights,property rights, production management rights and legal protection rights, informationrights and the resources use rights etc. The obligation of enterprise citizen is the socialresponsibility of the enterprise; it includes economic responsibility, legalresponsibility, natural environment responsibility, humanism, ethics and moralresponsibility, etc. Enterprise citizens pay close attention to the interest of thestakeholder such as the creditor, the enterprise customers, suppliers, the community,the public, the government and the staff, and also pay close attention to theresponsibility for the natural environment.Public companies in our country is constantly consummating and developing, themanagement is also more and more standard, all of these require that enterprisesshould pay attention to the related stakeholders' interests, to the rights and interests ofsmall and middle shareholders. More and more enterprise managers considered that enterprises should play good in the aspect of civic duty and role during the process ofdevelopment. Enterprises' development should seek the object:"governance by allstakeholders". Based on the enterprise economic development, the enterprise shouldcarry out social responsibilities actively and effectively to solve as follow problems:how to promote employment, how to move the social civilization award, social publicenvironment, how to maintain health and market order, how to help socialdisadvantaged group, how to guarantee staff rights, how to participate in communitydevelopment and so on, in order to integrate enterprises' development into thecommunity development, to be the excellent enterprise citizen, to meet the rights andinterests of the enterprise stakeholders, to pursue the long-term healthy enterprisedevelopment, to realize the unification of economic benefit and social benefit.Though the government, enterprises, organizations and scholars pay attention tothe concept of enterprise citizen and its related research, it involves the managementscience, economics and ethics etc.. So still now on, there is no clear and definitetheory definition for enterprise citizen. What is the enterprise citizen behavior?What's the differences between it and enterprise social duty? Which factors caninfluence enterprise citizen behavior? What belong to enterprise citizen behavior? Isthe enterprise citizen behavior affect corporate governance and financial performance,or corporate governance and financial performance influence enterprise citizenbehavior are still need to be investigated. This paper aims to do empirical research onthe relationship among enterprise citizen behavior, enterprise management andfinancial performance, it is based on the theoretical analysis of enterprise citizen andits behavior, and the relation among them and enterprise management. In order toprovide some opinions on the construction of corporate governance and enterprisecitizen.The paper consists of eight chapters.Chapter One is introductions. It generally described the research background,significance, research purpose and basic ideas, research methods and contents, maininnovation points and research framework.Chapter Two is the review of relevant theories and literatures. It reviewed thedomestic and international literatures on theories of corporate social responsibility,corporate citizenship, corporate governance, stakeholder and so on, and expoundedthe dialectical relationship between corporate social responsibility and corporatecitizenship, corporate citizenship and corporate governance.Chapter Three is the analysis of mechanisms and influencing factors of corporatecitizenship in China. By the hypothesis of human nature of corporate citizenship,based on the description of relationship of corporate citizenship rights and corporatesocial responsibility, it analyzed the contract mechanism and dynamic mechanism ofcorporate citizenship from macro and micro, and analyzed the eight factors thataffects the construction of corporate citizenship.Chapter Four is the study of influence of corporate citizenship to corporategovernance. Based on the analysis of corporate citizenship dimension from strategicand altruistic, it systematic expounded series of theories of characteristics, contents,performances and approaches of corporate citizenship. Based on the theoretical know-ledge of three key attributes of legitimacy, power, urgency of stakeholder, it builded a Y-type matrix, what can be accorded to distinguish different stakeholders of critical,major, dependent, potential and dangerous, and expounded the interest balance gamebetween different corporate stakeholders from theoretical analysis and empiricalresearch. At the same time, this paper expounds the connotation of agricultural enter-prise citizen behavior and characteristics,On this basis, the paper introduces A Studyon the Influence of Corporate Citizenship Behavior on Corporate Governance andFinancial Performance.Chapter Five is the empirical analysis of corporate citizenship and corporategovernance and financial performance. Based on the introduction of the selection andmeasurement of variables of corporate citizenship and corporate governance, it putforward theoretical assumptions of the relationship between corporate citizenship andcorporate governance, financial performance, made empirical analysis and test ofdescriptive statistics analysis, correlation analysis and regression test based on sampledata of89agriculture-related listed enterprises in China, and concluded that there isclose relations between corporate citizenship and corporate governance and financialperformance in agriculture-related listed enterprises in China.Chapter Six is the design of the model of corporate governance of agriculture-related listed enterprises in China. Based on the introduction of main models ofcorporate governance in foreign countries, it proposed three main models of corporategovernance of government-led, family-led, corporate-led in the process of economictransformation in China, and analyzed the problems of corporate governance model,listed companies and corporate governance in the process, and proposed the design ofcorporate governance model of agriculture-related listed enterprises in China.Chapter Seven is the policy recommendations to the construction of corporatecitizenship of agriculture-related listed enterprises. Such as learning from foreignexperiences, promoting enterprise standards, improving the construction of relevantlaws and regulations and so on.Chapter Eight is the summary and outlook of the paper. It described the maintheories and empirical concepts, the limitation in theory and empirical, and thedirection of further research of the paper.
