Enterprise merger and acquisition (M&A) is the developmental strategy of the enterprise in order to break through the restriction of inner resource and accelerate the growth of the enterprise. The essential aim is the process of relocating the resource under the market economy condition. For one thing, M&A can expand the service scale of the scope for the enterprise, obtaining the economies of scale or the economies of scope effects. For the other thing, M&A can bring the management and technical talent, and it can make use of the marketing network and other immaterial assets of the enterprise being merged.However, the fact is that few M&A can attain the anticipative effects. It get into the"M&A trap", after the M&A, the enterprise grows slowly, the efficiency of production and management is low, the structure of the enterprise is bad. The reason why the"M&A trap"exists is that the strategic decision isn't accurate, the location of M&A is something wrong and the resource integration is being ignored. After the M&A, the strategic aim, the inner and outer environment and the operation scale should be changed in stead of being the former one's clone or the two parts'simple combination. As a kind of resource aggregation, because of the heterogeneity before and after the M&A, the enterprise should operate the resource integration, which is the key point of M&A.M&A is the synergetic procession of inner and outer resource. It's the important approach of improving the market competitive power, which is rooted in the synergistic effect that created by resource share and integration.
