The reform of railway is a worldwilde problem. The key problem to China rail is how to get more development and efficiency, but that goal isn't achieved now. The dissertation studied the restructuring of China rail with the modular theory.Usually, the modular theory is used to study the tangible physical products, we need to innovate it for the China rail restructuring. So a general analytical framework about the modulization of organization was established in the dissertation.The three core questions to modular restructuring of China rail should be answered, that is why, can or not and how. These issues are analyzed based on the theory in the dissertation. First, because of the existing organizational model, the status of Chinese railway system is "large scale", but no "scale economics", it is necessary for China rail to be restructured. Secondly, because the conformation of the process of operation of railway transportation is resemble with the computer industry, and there are many transactional interfaces within Chinese railway system, the modular restructuring is feasible. Thirdly, the modular restructuring of China rail should be carried out in two steps. The first one is to conduct horizationtal modulization, the second one is to conduct vertical modulization. The conducting of horizationtal modulization is to divide the railway into a number of regional railway companies according to the principle of minimizing the total cost of organization based on comprehensive consideration of ecnomics of scale, transaction costs and management costs. At the same time, some railways relying on their own traffic to achieve economics of scale alone should be transformed into independent operating companies. The conducting of vertical modulization should be based on horizationtal modulization, and the core elements of organization model of vertical modulization are core enterprise and long-term contract.In the dissertation, some deep-seated issues concerned with modular restructuring of China rail were also answered.In the end of the dissertation, the study of case was used to prove the conclusion.The main innovation of this dissertation includes the following aspects. For the first time, the modular theory was applied to the field of railway transportation; a general analytical framework was established for the modulization of organization; the boundary of railway enterprises is determined in accordance with the principles of minimization of the total organization cost of the industry.
