Mediation Analysis Of The Impact Of Corporate Governance Mechanisms And Information Disclosure On The Corporate Financial Performances Of Listed Firms On The Ghana Stocks Exchange(2008-2018)

There have been several financial scandals across the globe involving many big companies,and these have rocked confidence in the management of some of these companies,and in Ghana,this has not been uncommon,with several companies,some listed on the Ghana Stock Exchange,being engaged in financial mismanagement that have led to their collapse.This has often brought up the question of the corporate governance structures existent in these companies and how they impact financial performance.The objective of this research was therefore to reach credible conclusions on the impact of corporate governance mechanisms in selected companies in Ghana on their financial performance.Companies were selected from the Ghana Stock Exchange and data collected on their published financial data as well as corporate governance metrics.The research also sought the mediating effects of Financial Disclosure,Non-Financial Disclosure and Risk management on the financial performance of these companies.Using regression analysis on the hypothetical considerations made for this research,it was concluded that the companies' board sizes,board independence and board committee decisions has a significant positive impact on the Return on Assets,Return on Equity and the Tobin's Q metrics of the companies.However,the research also concluded that both board composition,leaning towards greater presence of women,and government interference in these companies had a negative significant impact on the financial performance,though it was noted that the number of women on these boards was significantly smaller than men,and therefore could have contributed to that conclusion.In the mediation analysis the research also concluded that Financial Disclosure,Non-Financial Disclosure and Risk Management had a significant positive impact on the relationship between internal corporate governance mechanisms and corporate financial performance.These conclusions drawn aligned with some empirical research on the topics,while also rejecting other conclusions drawn by other researchers.
