The environment is the primary condition that the mankind depends on for existence, multiplication and development. It is not only the essential resource foundation of human economics and social development, but also the place of holding human offal. So, we must carry on effective management to the environmental resources. The public goods characteristic of environmental resources make the management of environment different from the ordinary personal goods. Because of market failure, it is difficult to set up the market of some environmental products and service or make the market work effectively, which proposes the urgent requirement for the government to use public power to solve the serious environmental problem day by day. It is the most important way to manage the environmental resources by government in the modern society, which is the process of internalizing external diseconomy. Pollutant discharger must pay all expenses to restore the damaged environment to original state, and the government must offer a series of environmental policies, environmental system, environmental regulation, etc. and make use of economic lever such as price, tax, credit, fine, compensation, subsidy etc. to standardize the behavior of the market players. However, in china's realistic environmental management process, the single behavior of government is not always effective, even sometimes government's behavior is lower than the market. In this way, the environmental questions become the result of government failure and market failure. So, if we want to solve environmental problems, we must prescribe the behavior of government and market players- enterprises at the same time. This needs the construction of a new kind of environmental management mode--a cooperative environmental management mode between government and enterprise, which can help us realize the organic integration of restrict and encouragement, so as to reach the goal of saving resources, protecting environment, promoting human and natural coordination, realizing the purpose of sustainable development of human society. The key is to design a set of rational system to restrict the choice space of government and enterprises, reduce the opportunism behavior, which can encourage government andenterprises to manage environment effectively at the same time.
