Research On Risk Evaluation And Prevention Of Hospitals Merging And Acquisitions

In recent years, the state has issued a series of policies to promote medical and health reform, thus establishing pluralistic hospital property right structure, accelerating the realization the diversification of investment channel in medical service market, and developing the investment competition mechanism, investment restraint mechanism and risk mechanism in hospital industry so as to facilitate its marketization and to form industrialization pattern. On one hand, a variety of capital can enter into the hospital industry through merge and acquisition. But due to different backgrounds and the expectation of steady income of hospital industry, the methods in the process are simple and extensive. On the other hand, because of the unclear property right structure, government leading system, the lack of competition experience in market economy for hospitals and administration department and the urgent time for hospital reformation, two sides of merge and acquisition underestimate the goal, methods, risk prediction and results in the practical operation. Therefore, these policies can not meet the practical needs.On the basis of theories on the merge and acquisition at home and abroad, this paper analyzes some key factors that affects the successful merge and acquisition of hospital by combining the domestic actual situation. According to those factors, it chooses out some questions to analyze. The methods and results are as follows:1. It analyzes and studies the risk of hospital mergers and acquisitions under the background of special policies and legal environment of China.2. Based on the analysis of present risk evaluation, combining the strategy risk, transaction risk and integration risk which are involved in the merge and acquisition, it establishes the risk evaluation index system. On the base of that, it constructs risk evaluation model by using analytic hierarchy process and fuzzy mathematics theory. It also calculates the risk of such cases in reality.3. According to risk management theory and methods, it makes a systematic and standardization application analysis on the risk prevention and control of hospital merge and acquisition in China, and proposes individual risk prevention and control measures on different stages.
