Based on the practice of Merger and Acquisition (M&A) of China First Tractor Group Corp. and Jiangsu Qingjiang Tractor Group Corp., the thesis starts with the theoiy about M&A and mainly deals with the method of aim enterprise analysis and evaluation in M&A. The contents of aim enterprise analysis are elaborated, and the method of Rappaport is selected to illustrate the way of evaluating enterprise value and defining M&A price in the use of actual example. This method has some pragmatic value in aim enterprise selecting in operation of M&A. The thesis strives to the real sense about Merger and Acquisition of enterprise. It also points out the problems and solutions to the actual operation by case study, so it can direct the operation of M&A of state enterprise.
