The incentive-restrictive system of enterprise manager has been widely and hotly discussed in china for a long time. For enterprise managers' payment has no bearing on their achievement, their interests can't be well protected. That's why trusting-deputizing conflict gets more serious. And in turn shareholders' interests are destroyed and enterprise are lacking of internal momentum of development. So far, though the government has designed work-effect linked system, contracting system, high bonus system and annual salary system, the incentive- restrictive system of state owned enterprise manager has not been efficiently laid out yet. Many state owned enterprises still maintained their distributive system and managing method formed under traditional frame. And in the market-oriented economy which be characterized of severer and severer competition, the other kinds of enterprises also have systematic defects in terms of stimulation and restriction to manager. And it has become the bottleneck of sustainable development increasingly.Looking back to the development of western enterprises in the near 30 years, stock stimulation system is the most effective and efficient one. And it provides prominent propulsion to the rapid development of enterprises and sustainable growth of domestic economy. Stock stimulation system relates to development of enterprise and domestic economy. The professionalism, regularities and exercisable ability of this system have great influence on its utility. This article discusses the designation and implementation of stock stimulation plan in terms of theory, exercises, case analysis, laws and regulations. And the various barriers of stock stimulation under current environment are analyzed and resolutions are provided.
