It mainly provides an area to conduct High-Tech materials research, development and mid-test in new materials fields, and at the same time provides VC and the other multi-level supporting services such as administration law, financial accountant, financing assurance, expert1 s consultation, management for infrastructure, etc. It aims to build a High-Tech materials silicon-valley in China.This paper has presented a deep research to summarize the integration of the incubator and venture capital in Shenzhen Green Materials Valley, the intention is to integrate the characteristics of Hi-tech materials, incubator, venture capital. Besides, risk identification, risk measurement and risk assessment are being analysis and study here, AHP is being used to assess the index system. In addition, Operations research principles is also be set up to takeprecautions against risk factors. Some new withdraw channels and methods are made to reduce the high risk of venture capital.Our trying and purpose is not merely the merge of the resources, such as fund, technology, management, market etc, The most important thing is to output a kind of new systems. New economy means not only economy knowledge, but also new economic system. Through constructing the new system of operation to drive the development of new economy.
