In the next three years, the system construction of modern enterprise will be completed, and most of state-owned enterprise will make profits instead of loss Financial system will be recoustracted thoroughly until it meets the needs of the economy development. Therefore it will be very important for accounting academics to do theory research to in order to the reforms. The reform on stated-owned and enterprise is not as successful as expected in China , the key one is lack of an effective corporate governance . There is an internal relationship between the enterprise financing models and corporate governance .This thesis defines the conception of direct and indirect financing and makes analyss by comparison,gives thoroughly analyss on the relationship of financing model and the corporate governance. Based on the comparison, put forward the preliminary suggestion on financing model in China.
