Along with the progress of the property right institution made in recent years in China, there are many new types of institution innovation welled up. All of these new institution innovation are trying to make the operation of enterprises closer to the standard model of Market Economics, and meanwhile, to benefit all of the employees during this profound innovation. At present, the research related with the ESOP (Employee Stock Ownership Plan), one of the institution innovations, has become the imperious need for many parties including society, enterprises and employees. This article, starting with the explore of China's employee system, tries to provide some suggestions for the innovation of China's property right, after taking apart the ESOP which does prevail in foreign countries especially in USA. Besides, the author also tries to raise some policy suggestions related with ESOP through analyzing the positive effect and problems happened together with the feasibility analysis of ESOP in China, during the course of pushing it into reality. Finally, the author makes a conclusion that ESOP is the inevitable trend for the innovation of China's property right, and China should selectively facilitate ESOP under the appropriate policy frame.
