The thesis consists of two parts.In part one ,the author emphasizes the principle of the corporate personality negation.By analyzing and appraising the value of the corporate limited liability system and the historical evolution of the civil law legislation standard, the author deals with the cause of the corporate personality negation principle's coming into begin, and expounds the real connotation of this principle, the author also analyzes some relevant situations following this principle.In part two, the author stresses the significance of the corporate personality negation principle by our country's corporation law and its reality problems, based on our country's corporation law legislature and its related practice conditions.In this part,the author first expounds the necessity of establishing the principle of the corporate personality negation in our country. In the light of the deep influence of the old system on our country's planned economy system to market economy system, and also according to the objective demand on the corporate system by the market economy system. Then the author analyzes thoroughly one by one some specific personality negation issues. Finally, the author puts forward some specific solutions, according to different situations.
