With the popularity of Internet and the application of Intranet/Extranet in enterprises all over the world, the development of E-Business has already been a trend that can't be blocked.Competition between enterprises is getting more drastic and more drasticunder E-Business-a new commercial mode . If it isn't able to gain the lastingcompetitive advantage, enterprises will be eliminated quickly. Consequently, how to gain the lasting competitive advantage under E-Business is a goal that every enterprise is pursuiting. Besides, the research on the question is also being operating in the field of academy. The article tries to study it based on the background and purpose. The way of Value-Chain-analysis will be adopted to analyze all kinds of sources of competitive advantage. It will be pointed to that enterprises may gain the lasting competitive advantage by re-structuring Value-Chain. Establishing Electronic-Supply chain and Fantastic Value Chain are two ways of re-structuring Value-Chain. They all make a chain consisted of many enterprises. Lasting competitive advantage can be gained by the optimum of the whole chain.The theory of Value-chain provides a method to study the competitive advantage of the enterprises. It is difficult to exactly define and there is no systematic analysis at present. The essay manages to evaluate the competitive advantage with the theory by the Vague-Comprehensive-Mode, which is a new way in analyzing and evaluating the competitive advantage.
