With the development of the economic, more and more disadvantages have been found about our country's revenue distribution system. In order to make the system embody its incentive effect better, special the incentive to the company's high-ranking manegers, some companies introduce the stock option plan from the foreign. The stock option plan is originated from America. And, in there, it has developed very perfect. Because, in our country, many objective factors are different form America, we must do some reform when we apply the stock option plan. This paper is consisted of five parts. In the first part, the paper discussed the necessary of applying the stock option plan and the development of the stock option plan both in China and in foreign. In the second part, thepaper discusses the theory bases of the stock option plan, which are made offive bases: contract theory, omission and agency theory, two elements theory, common administration theory and risk incentive theory. In the third part, the paper designs seven sets of performance evaluation indicator system for individul, which has both fixed indicators and qualitative indicators. And the paper also makes the evaluation standards and the evaluation methods. In the forth part, on the bases of the third part, the paper works out the amount of the stock option plan, which is just the amount that a company can grant its beneficiaries during a whole stock option plan; the amount that a company can grant its beneficiaries one year and the amount that a beneficiary can attainone year. In the fifth part, also the last part, after introducing the method thatdecides the exercise price in foreign and associating our country's conditions,the paper discusses several methods, which fit our company. They arecomprehensive price method, cash flow method, simulating listed company'sprice method and asset evaluation method.
