A Study On Optimize The Structure Of SP Corporation's Governance

Along with the establishment of market economy in our country, the private capital acquired the fast development. However, along with extension of scale, many private capital enterprises also face some new problems and difficulities, among them the most outstanding one is imperfect governance. Imperfect governance has already brought about a series problems to these corporation management.This paper tries to make use of the modern corporate governance theories, regarding SP corporate as the sample, to proceed the analysis and evaluation of the structure of capital of SP corporation on present condition, and try to optimize the structure of SP corporation's governance.This paper is totally divided into six parts, contents as follows:The first part primarily introduced the background, way of thinking and the structure of this paper.The second part is to make the research of modern corporate governance theories, and primarily introduced the meaning of corporate governance, structure of corporate governance and the structure of finance management, etc, and lay stress on the point to introduce the deep layer inside the modern corporate governance. This is the basis of this paper.The third part is the survey of SP corporation's governance. It primarily introduced the development process of SP corporation, the present condition of SPcorporation, the external environment of SP corporation's governance and the present structure of SP corporation's government.The forth part analyzed the condition of finance management and the structure of corporate governance on SP corporation in the last few years, and introduced the condition of SP corporation's finance management in recent years, combined with extensive and in depth analysis on the present status of corporate governance. Based on the analysis, we find out some problems existing in SP corporation's governance. This part is the key one of this study.The fifth part made some suggestions to improve SP corporation's governance. It aims at problems, which exists in SP corporation's governance, this paper bring forward some improvement opinions and suggestions. This part is the end-result of my study.The sixth part is about the individual considers and suggestions. According to the analysis of this paper, I provide some personal opinions and suggestions on how to apply the corporate governance theories to resolve the actual problem.
