The Integration Of The Corporate Governance Patterns And The Option Of The Corporate Governance Pattern In China

In modern society, enterprise prosperity signifies the nation and the country prosperity, therefore an enterprise is the crucial place of a national economy, and an efficient corporate governance patterns is the key to corporate efficiency. Every country formed the different corporate governance patterns under the different environment. In the background of globalization, the connection among the countries is strengthening, so that the corporate governance patterns tend to converge. The corporate governance patterns mutually absorb the merits of the sides and are fused into a new pattern.The economic system reform in China which lasting 20 years or more has reaped a rich harvest, but the state-owned enterprise reform lags. How do we raise the overall efficiency of the state-owned enterprise? We will combine the tendency of the integration of the corporate governance patterns and the special conditions of our country to establish the corporate governance pattern of our own. This dissertation comes around such a way of thinking to seek a solution to that problem.This paper is divided into four parts.The first part is theoretical summary. Firstly, the paper introduces the development process of enterprise system, and analyzes the feature of the modern enterprise that can meet the development of modern economy. The company's system enterprise and the corporate governance patterns have the intrinsic logic. Only the company's system enterprise produces, the corporate governance problem will inevitably exist. The people have different views on that complex problem, therefore the meaning of the corporate governance is also different.The Second part is the comparison of the corporate governance patterns. There aretwo patterns mainly in the present world--British-U.S. pattern and Germany-Japanpattern. British-U.S. pattern and Germany-Japan pattern originate from the different environment. The inside government in British-U.S. pattern is single committee system, the CEO has strong power, which easily leads to power abuse. But the stock market in British-U.S. country is developed, equity scatters fairly, stock mobility is very strong, which force the manager layer to carry out efficient work. In Germany-Japan pattern, because of legal person, bank intersect holding share and the big shareholder, the inside government is perfect. But stock market is not developed, so that the outsidegovernment mechanism has limit effect.The third part researches into the integration of the corporate governance patterns. In the background of globalization, the multinational company causes the internationalization of the stock right, so that the corporate governance patterns begin integrating. British-U.S. pattern is attaching importance to improve the inside government, the organization investment and the big shareholder of the bank spring up that make the structure of the stock right increasingly stable, the inside government has been strengthened. In Germany-Japan pattern, the connection of the bank and the enterprise is slack, the nation has relaxed the control of bond market, the stock market is active, the outside government is gradually perfect. We foresee the major feature of future company pattern from the development and the innovation of that two governance patterns, that is " internal and external common ".The forth part is the option of the corporate governance pattern of our country. Firstly, we combine the tendency of the integration of the corporate governance patterns and the specific conditions of our country to put forward our own solution way of thinking. In the establishment of the corporate governance patterns of our country, the reform of property right is the prerequisite of the efficiently corporate governance patterns, and the efficiently state-owned asset management system is the key to the reform of property right.
