| 21 century is the times of the knowledge-based economy, Hi-tech estate is prop of the knowledge-based economy. Developing energetically Hi-tech estate is the focus of competition each country. The carrier of Hi-tech industry is Hi-tech Industrial Zone. So in order to realize the fixed strategy goal , we must choose the strategy of development of Hi-tech Industrial Zone, which is suited to the condition of China.This paper, based on the development of innovation theory, points out that the Region Innovation Network is the intrinsic trait of Hi-tech Industrial Zone. And institutional innovation is the key of the Region Innovation Network .So in chapter 2, this paper discusses the intention and function of institution and points out that the institution play an important role in developing Hi-tech Industrial Zone. In chapter 3, the paper analyzes the hierarchies of the institutional structure of Hi-tech Industrial Zone, according to the important degree of various institutions. Analyzing the hierarchies will do some help to the transverse comparison and dynamic analysis of the institutional structure of Hi-tech Industrial Zone. On the basis of the analysis above, the paper focuses on the problem that exits in Xi' an Hi-tech Industrial Development Zone, and suggests that the lack of institution is the main cause. At last, the author studies and compares the institutional structure in Beijing, Shanghai, Shenzhen and Xi'an Hi-tech Industrial Zone.This paper's theoretical innovation includes: firstly, grasping the characteristics of the Hi-tech Industrial Zone and making this as the basis of the research. Secondly, analyzing the hierarchies of the institutional structure of Hi-tech Industrial Zone. And thirdly, analyzing the problems that exits in Xi'an Hi-tech Industrial Zone from the institutional innovation angle.
