The effective governance is very important to a corporation. It's well known that the independent directorial system is an excellent measure to improve it. To take the different background with the other countries to push on this system into consideration, such as the special structure of shareholders and the useless board of supervisors, etc. the corporations in China will encounter many difficulties when they prepare to establish this system. In this thesis, the writer, firstly, analyses the background for writing this paper, and then, introduce the basic knowledge of the independent directorial system. Chapter 3-6 is the key parts of this thesis. The writer tell the necessity to push on this system in China in chapter 3; and in chapter 4 the writer adopts the method of transverse comparison to compare the background for pushing on this system, the nature of independence and the direction of function in China with the other countries, then point out specialty in China to push on it; In chapter 5 the shortages of the system itself and the barriers in China is told, such as the scarce relative human resources, the backward relative laws and the not matured reputation effect, and so on. Chapter 6 is the most important part, the writer refers to many suggestions for China to carry out healthy system of independent directors, to establish the urgent need laws and to build up manpower is still the key of the question. At last, the writer presents some illuminates and prospects the brilliant future for the independent directorial system pushing on in our country. We believe this system will greatly improve the corporate governance in China.
