There are more than twenty years since China implements the"Open Door" policy. During these years, many foreign investors puttheir eyes on China's market. Especially, when China joins into WTO,a lot of investment has been drawn into China. With the development of China's economy and the increasing ofthe foreign direct investment, more and more foreign companies willinvest in China. It is obvious that China has got great success inabsorbing foreign investment. However, there are still many lessons,which China also has got in the same course. In this thesis, the writer wants to analyze all kinds ofactions of violating contributing obligation of shareholders inForeign Investment Enterprises (FIEs). By her contribution, thewriter hopes that our FIE laws will be improved to be perfect. Before the writer started this thesis, she tried her best tocollect large quantity of useful materials. After studying thematerials, she made a frame of the work with her tutor's help.This thesis has four chapters. It involves different problemsof FIE share capital contribution. In Chapter 1, the writer talks about some basic conceptions inFIE share capital contribution. (e.g. The conception of FIE) In Chapter 2, the writer gives two main kinds of actions ofviolating share contributing obligation of shareholders in FIEs andthe concrete typical forms of the two kinds. In Chapter 3, the thesis involves the reasons that make theillegal actions. The reasons include legislation, implement of law,and the shareholders themselves. In Chapter 4, on the analyses of the reasons above mentioned,the writer wants to give some measures, which can avoid such kindsof illegal actions. By our effort, we hope that our country can absorb largenumber of good foreign companies to invest in China.
