Capital providing is one of the focuses and an important problem yet to be solved in theory and practice in corporation laws. Capital comes from shareholders and it is the foundation of economic activities and credibility of a corporation. With the rapid development of corporation in China, disputes are rising concerning with capital providing. Despite some simple regularities and restrictions of corporation laws, it is difficult to meet the needs of complicated economic lives. This is a big pity. Therefore, correct understanding and analysis of capital providing system not only contribute to the solution of disputes of various kinds, but also help to perfect the legal system of corporations. From respects of capital providing, capital in kind and capital providing responsibility, this paper gives an introduction to the stipulations of capital providing of several countries on the basis of basic theories. The author provides an view to perfect the capital providing problems by analyzing the defects of legislation in china and reference of the advanced legislation theories and experience overseas. The paper suggests that China should conduct a series of reforms in the capital system, such as expanding capital providing forms, reducing the minimum registration amount etc. Capital in king should add property acceptance, and adopt flexible legislation techniques. In addition, capital providing responsibility should be specified. In conclusion, capital providing system reform should be in line with other reforms including introducing legal person denial system and credibility market construction etc. The responsibilities among the shareholders, corporations and creditors should be straighten out to ensure the healthy development of corporations.
