Study On The Effectiveness Of Corporate Governance Of Market Company In Our Country

Corporate governance came into shape in the 1980s.With the outbreak of the Asian Financial fraud scandals of American listed companies at the very beginning of this century, corporate governance has become a global focus. It has not been long since our country switched from planned economy to marked economy and the time for practicing corporate governance is even shorter. With the further development of security market and the setup of modern enterprise mechanism in listed companies, governance problems in these companies began to show up .Through the study and analysis of theories and practices on corporate governance both home and abroad ,this thesis puts forward a quantitative analysis approach for studying the content system of corporate governance in domestic listed companies, the concept of effectiveness assessment of corporate governance and the effectiveness assessment indicator system of corporate governance. Based on these studies and taking the listed companies in Hebei Province as case study samples ,this thesis discusses the effectiveness of corporate governance structures from the perspectives of management, economics and legal regulations and puts forward a set of effectiveness standards .Through statistical relevance analysis and other economic analysis , it analyses the operational situation of shareholder meeting ,Board of directors, Board of Supervision and the Management ,discloses factors that influences effective operation of corporation governance structures and proposes some approaches for improving corporate governance structures. Finally ,it makes suggestions on the improvement of corporate governance structures in domestic xompanies.
