The thought of Huang Di and Lao Zi is School of thought based on and with the development of the the Taoist thought, it has the systemic theories of curing the country, and by way of basic thought of rule at the beginning of the Han Dynasty, it went through the development process from establishment to widely accepted then to falling off, more over it was substituted by the Confucianism in the age of king of the Han Wu finally, The thought of Huang Di and Lao Zi has got the different influence to legal system of the early Han Dynasty in its different development, the ex-period is more positive and then the period is more negative, Exactly this kind of its negative made it headed for gradually falling off, finally replaced by the Confucianism "The flourish of the period of Han Wen and Han Wu" was not result of "cure but inaction" of Huang Di and Lao Zi, but the outcome that combined "inaction" of the Huang Di and Lao Zi and "Action" of Confucianism together.
