This paper first looks back on the courses of the development of the Fuxing Group and the Mingtian Group. The Fuxing Group, starting from industry, faced the capital bottleneck and many chances to expand when it had entered a new stage. For grasping the chances as more as possible, it began to enter into the stock market through either buying a shell or IPO directly, setting up some capital platforms to collect money. Then, depending on the abundant funds, it purchased many companies and entered into many new fields, and at last,it became a diversified company cluster. The Mingtian Group, findsing the opportunities in the Chinese stock market, tried its best to enter into the stock companys and designed a series of company to collect money and accumulated much more money in several years. When the environment of the stock market changed, it turned to build the platform of industries and became a diversified company cluster, too. .The Mingtian Group and the Fuxing Group are the examples of two kinds of cluster. Although there are many differences betweent the two clusters, they both became the clusters so far. Through reviewing their developing courses, the paper studys the conditions, motives and paths of the arising of company lusters in China. First, the economy reform of China is a prerequisite to the emergence and development of clusters, and the stock market with some defects is the soil in which the company cluster grows, and the reform of the state-owned company is a great promotion to the development of the clusters. Second, the opportunities to develop and the shortage of the capital are the motives to make clusters. Thirdly, the non-state-owned companies enter into the stock market through various channels, setting up the capital platform and purchasing many companies, and then, the clusters arise.
