The Study On Corporation Governace In Jilin Stated-owned Commercial Bank

State-owned commercial banks(SOCBs) are the backbone of China financial system. The adequacy of the corporate governance in SOCBs has a direct effect upon asset quality and operating efficiency as well as the stability and efficiency of the whole financial system. With China's　entrance into WTO,the banking of China are faced great challenge. It is especially hard for state-owned banks. Financial openness has been one of the major institutional factors in the institutional transition of the corporate governance in SOCBs. Unprecedented challenge was brought to financial institutions including banks. This paper makes an in-depth study into the characteristics and flaws of the corporation governance in SOCBs. The state-owned commercial banks (SOCBs) reform in China is in fact the reform of SOCBs' governance and management,and establishing modern enterprise system refers to establishing a complete and standard corporate governance structure and scientific management system..As a result,the research on corporate governance is of great importance both in theory and in practice.This whole thesis is divided into five chapters and the main contents are set forth as the followings:Chapter one reviews the capital structure backgound in Jilin SOCBs. The main point of this chapter is : As a unique-capital structure,the opration of Jilin SOCBs during the transition period is high risk and has a high ratio of bad loans, poor profiting ablities .Chapter two sums up the existing governace problems of Jilin SOCBs. In first place , the thesis describes the basic situation of the SOCBs' governance and points out that the drawbacks consists of some parts which are "the absence of ownership", "the phenomenon of internal control","the absence of incentive mechanism" and "the absence of rivalrousness".Chapter three is about the meaning of corporate governance. Author enumerates a lot of different about the meaning, analyses carefully their diversity and shows his attitude towords that. Chapter Four and five give some suggestions about the perfection of the Jilin SOCBs' corporate governance. The main contents are as followings:(1) Accelerate the reform of property right system and establish a multiple structure property. Realizing the departure of politics and economy in the SOCBs；(2) Set up the market-selecting mechanism of managers and develop the professional manager's market；(3)Perfecting the incentive and restriction mechanism；(4) Improve the intemal conirol system, opening the asymmetry of internal and external information；(5) Strenghen the banks supervision; (6) Consummat the exterior environment of the SOCBs'corporate governance.The main points of the thesis involve: First the author hold that we should not only establish a standard and efficient governance structure inside a corporation,but also create a outside system that would help to perfect the internal governance of a corporation,including the participation of institutional investor,the capital market and the stockholder. Certainly the former is more important and the SOCBs' corporate governance is based on that. Second, theory is connected with practice. The thesis brings forward some suggestions which are very beneficial for Jilin SOCBs. Third,the thesis handles several knowledges including law,economy and the community. Some angles are very novel.
