Corporate governance is the core of modern company. It is very important not only for the company but also for the society. Now more and more people pay more attention on the research of corporate governance.First of all, in this paper through analysis for current situation of corporate governance in China and the characteristics of three kinds international corporate governance patterns, i.e. pattern of outside supervision (Britain-American pattern), pattern of inside supervision (German-Japanese pattern) and household supervision pattern, and their environment of micro economic and macro economic. Meanwhile, with corporate governance experiences of some domestic listing enterprises and current status in front of Gofront Group Ltd, it is that with the development of capital market, manager market and company command market is comparatively lagging behind, Chinese state-owned enterprises still depends on capital supports from government and bank to great extent. All above studies provided solutions on choosing pattern of corporate governance for Gofront Group Ltd. that is, during national economy developing process, state-owned enterprises should select their own mixed corporate governance pattern that is mainly oriented by organization control, taking the market orientation for auxiliary consideration. Along with the development to maturity of national market, a better corporate governance pattern will come into being as an comparatively ideal philosophical choices according to our national current status and market orientation goal, which is based on shareholders interests, oriented by profits and paid more attention to capital market effect.Secondly through comparing and analysis the corporate governance of international and domestic listing company, and considering the feature of its tradition, ownership structure, capital structure and its outside environment, this paper presents a most suitable corporate governance for Gofront Group Ltd. The features of Gofront Group Ltd. corporate governance are described as follows: one is to function doubly as monitoring mechanism of independent director and supervisors board which helps enhance supervision function of state-owned enterprises. The other is to bring board of directors into company strategy management, and to bring the top management team, headed by general manager, into implement the decisions of board and daily management. In order to realization of the development strategy and effectively implement of corporate governance for Gofront Group Ltd., the performance evaluation system and incentive of top manager and son company have been researched further.Finally, the reform procedures of Gofront Group Ltd. have been put forward and some key points that are difficult to deal with during the implement process of its corporate governance have been discussed. And relevant suggestions have been provided.
