In China, the setting up of various kinds of financial holding company is popular in spit of the lack of breakthrough in the legislation on the financial diversification.This thesis focuses on the similar financial holding company, which is a unique kind of financial holding company. And it has the following characteristics. First, it's the industrial and financial integration, and its shareholders are complex, some are state-owned enterprises, some are private enterprises. The emergence of the similar financial holding enterprises demonstrates that the domestic companies are anxious to become bigger.In 2004 the D'Long Group, which has the biggest influent and the complex structure in the similar financial circles, went bankrupt due to the breaking up of the capital chain. So I decided to write a thesis about this problem. I think its bankruptcy results from different factors, not only the "using the short-term money in long term investment', but also some other profound reasons such as the lack of the efficient supervisory and regulatory. I want to remind the government and the study field to take early supervisory to the similar financial holdings. After all, China's financial market can't stand more rumors and investors should rebuild the confidence in the early future.The feature of this thesis is as the following. First, I give the clear and scientific definition to the similar financial holding company, which can rope a boundary to the research object. Second, I raise the assumption of internal management and external supervisory, and I even suggest that we should use the Sarbanes-Oxley Act for reference.However, there is few research on the similar financial holding company except the denial and animadvert from Professor Lang, the study is hard to carry out. The analysis method is: first, analyze the similar financial holding company as the financial holding company; second, make a deep research on the characteristics on the similar financial holding company.The thesis includes four parts. The first part defines the similar financial holding company according to its current development and emergent reason so as to have a essential study thought way. The second analyzes in detail the risks of similar financial holding company especially to D'Long Events. The third finds some useful methods by referencing the foreign supervisory and some government structure of famous financial institutes. The fourth gives the external supervisory modc aimed at the current situation of the China's financial environment and similar financial holding company on the basis of the third part.
