The Related Transactions Of Listed Companies And Legal Provisions

On the basis of investigating and analyzing the present situation and effect of profitrigging of listed companies in related transactions in China, the type of company, transactioncontent, transaction motive and the hazard are analyzed in detail. Through the analysis of thelaw about the related transaction at present, the deficiencies of the related laws of relatedtransaction, such as lower policy effectiveness, inauthoritativeness, unconfined capability,limited adjusting range, are pointed and it couldn't control the unfair related transaction.Based on it, some measures should be implemented. For example, adjustment of the sharesstructure, improvement of related laws and supervising the agency are preferable method, andthe balance system is created between positive factors and negative factors of relatedtransaction to direct the related transaction correctly.This dissertation is separated into six chapters to proceed discussing.In Forward, the whole dissertation is summarized. The problem is put up, and thepurpose is pointed out. Then the present state in China is analyzed, and the range of study isexplained.In Chapter One, the related bargainer and transaction are defined and the legalcharacteristic of related transaction of listed company is illuminated systematically, so thetwo-edged property of related transaction is disclosed.In Chapter Two, based on the empirical study of related transaction of listed company,the reason and effect that listed company employs the related transaction to manipulate profitin China are analyzed. Then, the present state that the related transaction is more and morepopular, appearance, purpose, motive and hazard are studied deeply.In Chapter Three, the laws that restrict related transaction are introduced and studieddeeply.In Chapter Four, some measures are put up in order to settle the problems in relatedtransaction in China. Some suggestions, such as adjustment of the shares structure, revisionimprovement of related laws and supervising the agency, are recommended.In Chapter Five, the aspect in future is indicated based on summary.
