One-man company is the result with the development of economy and the theory of company law. At first, one-man company was not admitted, but at last many countries admit it. This is the first time that legislative assembly body license one-man company the special form in Chinese legal status.One-man company is welcomed by small scale entrepreneur. Reasons are as follows: first of all, one-man company also has the limited-liability and the inside structure is simple. The second is stockholder's equity and right for management are focused in one person. For this reason, Chinese new company law admitted the one-man company, allowing people and legal person establish it. The point we can not assignable is even one-man company invigorate the huge of capital, the creditors of the company still in the dangerous status. Owing to having the shield of limited liability, stockholder of one-man company control all the fields, the creditors hard to knowing the situations of the company. With using for reference the experience of other country, the new company law use the special clause to establish system such as restricting invest mainstay and the lowest registering capital etc. Though having some systems in company law, there are some weakness especial protecting creditors of company compare with the advantage of western country company law. The writer attempts to represent the concepts and characteristics in order to protect the benefits of creditors.This essay consists of three parts.
