On Social Responsibility Of A Corporate

Company, with the superiority of its system, it's already flourish around the world since its appearance, and gradually become some parts of our daily life, therefore, we can say nowadays the world is some kind of "corporation world."It is no doubt our society have been benefits a lot from company's vigorous developments, such as:the substantial growth of GDP, increased fiscal revenue, operation of huge projects, increased employment, etc. All of above mentioned are closely related with the appearance and developments of company. However, traditional companies stick to the sole goal of maximizing shareholder value; we admitted that company did bring huge economic interests, while they caused a lot of social problems.As company itself endeavor the goal of maximizing shareholder value, although it really promote social progress, it sacrificed other group's benefits,: employee's benefits, consumer's interests, to some extend it undermining the social environment, unbalanced ecological, and other malpractices for its single goal of profits pursuit. In western countries, economic crisis intensified in recent years, here in China, especially in recent years:mine incidents, toxic milk powder, environmental pollution, etc. we are shocked by these social problems.In light of this, American scholar Shelton put forward a new concept----"social responsibility of corporation", it immediately launched a great prelude to researches on social responsibility of corporation in theory and practice. In some decades of efforts, in Western countries, especially in United States, researches on the theory of corporate social responsibility and legislation are being improved greatly. However, in China, for the setting up of the market economic system is rather late, researches on company's are still on the early stages, so we need further and deepen the researches on corporate social responsibility. Due to the absence of corporate social responsibility which led to the liability accident frequently happened, it seriously damage the orderly environment of our socio-economic development that is totally deviated from goal of construction a harmonious society initiated by Central Committee of CPC. Therefore, the author believes under this background, the study on corporate social responsibility has a very important meaning especially on establishment of the harmonious relationship between business and social significance in the current era. Here the paper is standing on the position of advocating corporate social responsibility, discussed research on the theory of corporate social responsibility in three parts and on this basis hereafter I put forward some legal advice on how to improve corporate social responsibility in China.In the first part, illustrate the basic theory of corporate social responsibility. At the beginning author introduced historical background of corporate social responsibility's theory, and then make an analysis combining with the definitions from famous scholars on corporate social responsibility, point out the meaning of corporate social responsibility. Finally, give a detailed analysis of corporate social responsibility that company should be took, the discussion are mainly on four theories:theory on stakeholder analysis, theory on the ownership socialized, theory on social benefits and economic impact, explained the reasonable social responsibility company should be took.In second part, the author mainly comparing the legal practice of corporate social responsibility in the United States, Britain, Germany, summarize and analyze under the inspiration from legal practices of foreign companies they bring to us.In third part, first analyzed the theory research and legislative status of corporate social responsibility in China, on this basis, the author put forward two points on how to build corporate social responsibility in China's legal system. First, with donation as the core moral obligation's legislation, we try to build licensing legislation with the "Company Law" as the core, "public welfare donations Law" as the radiation. Second, focus on the obligation of stake holder's, mandatory legislation should be considered, we try to set up a legal system with "Company Law" as the core, include the "Labor Contract Law","Environmental Protection Law","Product Quality Law" and other separate laws and regulations, in order to urge the company to actively fulfill its social responsibility and promote social the economy to developed in a better, faster way.
