On The Legal Relief Of The Corporation Deadlock

With the development of economy, the corporation deadlock as a block of management appears to increase day by day. Especially in China, most companies are limited liability companies which depend on interpersonal relationships exceedingly. Due to the characteristics of itself and reasons of institutional arrangement, the corporation deadlock is more likely appearing in the limited liability companies than incorporated companies. Corporation deadlock not only harms to the company itself, but also to the other stakeholders and even the entire social economic order. Research on the legal relief of corporate deadlock will have great importance to save the company and stabilize the market order in practice.The thesis, according to the law of corporation in China regarding corporate deadlock, refers to the practice of relief in common law and civil law countries, and points out the problems of the lawsuit of shareholders requesting the court to dissolve the company in deadlock.
