Research On The Legal System Of National Security Review Of Foreign Merger And Acquisition In China

With the development of economic globalization, the number of foreign merger and acquisition has increased in China. Although foreign merger and acquisition is good for resources allocation and industrial structure adjustment, the disadvantages of foreign merger and acquisition are obvious. Loosened control of foreign merger and acquisition will bring negative influence and potential threat to national security. In that meaning, it is necessary to establish national security review system of foreign merger and acquisition. Studying on the system will not only help Chinese government perfect relevant regulations, but also do some favor to foreign investors. The thesis analyzes the national security review system in United States, Canada, and India and so on. And then summaries the advanced system in order to make some proposal to improve China's current regulations.This thesis comprises four chapters, the abstracts of which are as follows. Chapter one mainly introduce the concept of national security review system of foreign merger and acquisition, as well as the concept of foreign merger and acquisition and national security. Chapter two is dedicated to analyze the establishment background of national security review system of foreign merger and acquisition. After introducing China's current national security review system of foreign merger and acquisition in detail, author points out the problems existed in current review system. Chapter three from the perspective of comparative analysis, author roughly discusses the national security review system in United States, Canada, India, Russia and Brazil. Chapter four is the goal of this article. In this part, author proposes some suggestions to complete the system from aspects of review instrument, review standards and rules of procedure and so on.
