| With the conducting of economic reform, the interaction between China's economy and the global economy has became more and more obvious. The amount of Foreign Capital mergers and acquisitions (Foreign M & A) and cross-border mergers and acquisitions (cross-border M & A) has increased. Therefore, the security review system of cross-border M & A has been taken seriously, especially after the financial crisis, it has already been particularly important that how to establish a perfect system of the security review of cross-border M & A which can promote the development of our country's economic system.On the basis of clearing concept of the cross-border M & A, author use the comparative analysis and the method of example to research security review system of cross-border M & A of some developed and developing countries, and then with the considering of status of China's security review system of cross-border M & A, find the inadequate and put forward a sound advice.The whole thesis has been divided into four parts as the following:Chapter One is the overview, in which author elaborate some basic concept and expound the necessities of security review system of cross-border M & A and related legal.In Chapter Two author listed some developed and developing countries' provisions of security review system of cross-border M & A like USA, Canada, Japan and Mexico to make comments and analysis for preparing for the building of our country's security review system of cross-border M & A.Chapter Three is the illustrate of our country's security review system of cross-border M & A, based on this, try to find the problem as some inadequate on the legislative level, system echo, access standards and so on.Chapter Four is built on the basis of Chapter Three, in which author conscientiously sum up the lessons learned from those countries listed above in order to make some suggestion to establish our perfect system of the security review of cross-border M & A. And hope they will be helped.
